Terms of Use

    This Terms and Conditions Agreement ("Terms and Conditions") between you and AsiaSoft Online (“AsiaSoft Online”, “Management” “we”, “us”, “our”) applies to your use of AsiaSoft Online’s @Cafe Member Services (the “Services”). Before you may use the "Services", you must first establish an @Cafe Member account ("@Cafe"). You must read, agree with and accept all of the terms and conditions contained in this Agreement.
1. Introduction
    AsiaSoft Online Pte Ltd publishes MMOPG (Massively Multiplayer Online Playing Game) in Singapore and Malaysia. Incorporated in 2004, AsiaSoft Online assists game developers in an integrated service platform to tap the growing potential of the Southeast Asia region. AsiaSoft Online Pte Ltd holds the sole distributorship of the products: (i) A-Cash Prepaid Card and (ii) @Cafe IP Bonus Program.
2. The Services
    The "Services" include the @Cafe IP Bonus Program. After registering for the @Cafe member account, the @Cafe is included for the IP Bonus Program which is to reward customers of these @Cafes with bonuses when they play our games. Only Cybercafes that are registered with AsiaSoft will be able to enjoy these "Services".
3. Eligibility for Services
    a. You must establish an @Cafe Membership Account with AsiaSoft.
   b. The @Cafe Member must adhere to certain guidelines.
   c. The @Cafe Membership Account is not inclusive of the Channel Account.
   d. In order to have the Services, you must comply with the following requirements :-
      i. you must be a business entity with a company or business registration number which is registered with the Accounting and Corporate Regulatory Authority of Singapore;
      ii. at the time of application, you should have a cybercafe which had already been set up and ready for, or already in operation;
      iii. all other retail outlets which are under the same main company name must be clearly stated;
      vi. you must state Service Address(es) to which the Services will be provided;
      v. cybercafe must deal in legitimate activities.
   e. You must at all times provide us with such information as may be necessary or desirable for us to provide you with the Services.
   f. We may decline acceptance of your application at our discretion.
   g. You may not transfer or assign any rights or obligations you have under this Agreement without our prior consent.
   h. We reserve the rights to transfer or terminate this Agreement, or revise any rights or obligations under this Agreement at any time.
   i. AsiaSoft Online reserves the rights to assign or remove IP Bonuses to @Cafe members.
4. Activities & Environment
    a.  Upon application of @Cafe membership, cybercafe is liable for random checks conducted by AsiaSoft Online at any point of time.
    b. @Cafe premises should conform to the following :-
      i. cybercafe shall not promote, support nor distribute any hacking and/or botting tools within its premises, or as such;
      ii. cybercafé shall not conduct any illegal activities within its premises as deemed f fit by Singapore laws and regulations.
    c. AsiaSoft Online is not liable for any activities and/or responsibilities held within the @Cafe premises :-
      i. inappropriate or contrary to any laws of the country in which the information service may be accessed;
      ii. any activities held by @Cafe members which is unsuitable for children and minors;
      iii. with the exception of AsiaSoft Online events, publicized via website announcements.
5. Disruption of Service
    a.  AsiaSoft Online will not be liable for any disruptions to the Service in the following situations :-
      i. loss of Internet connection by Internet Service Provider;
      ii. nation-wide internet connection loss;
      iii. disruption caused by cybercafa software and/or hardware;
6. Technical Support
    a. Electronic mail support is made available with the following:
      i. detailed information on the problem that @Cafe is facing;
      ii. a reply will be sent within 5-7 working days.
    b. Technical support is available from 9am to 6pm, from Monday to Friday, not including weekends, eve of and/or Public Holidays.
7. Transfer of Service
    a. The Services are provided to you solely for your own business use. You must not resell or transfer the Services to third parties without our prior consent, whether or not for profit or otherwise. Without prejudice to the foregoing, you must not use or permit the use of the Services for any of the following purposes; discounted sales, Online sales and resale to other interested retailers. We reserve the right to immediately suspend or terminate your Services if we determine, in our absolute discretion, that you use the Services for any of the aforementioned or similar activities.
8. Ending the Service
    a. Without prejudice to the rights, either party may have against the other party under this Agreement for any antecedent breach of this Agreement the Services under this Agreement may be terminated by either party giving 1 working days’ notice to the other party without assigning any reason.
    b. In the event of any of the following :-
      i. you breach any of the terms and conditions of this Agreement or any other agreement you have with us;
      ii. You provide incorrect, false or incomplete information to us;
      iii. the requirements of any relevant regulatory authority result in us having to stop the Service or to provide the Services in a manner which is unacceptable to us;
      iv. if you are likely to create imminent harm to our provision of the Services, or defraud us, or are likely to create imminent harm or are abusive to our personnel;
    c. In the event that we suspect you are using or allowing the Services to be used for fraud, misconduct or any other illegal or improper purpose, we will refer this to the relevant authorities without notice to you and comply with directions or guidelines issued by them without further reference to you.
    d. If the Services are terminated, this Agreement will not affect any accrued rights or remedies of either party against the other party.
9. Changing the Agreement
    We may from time to time change any of these Terms & Conditions and/or such other terms and conditions agreed or accepted by you. We may also from time to time, withdraw, suspend, or change the Services or any part thereof. Such changes will take effect as from such date as we may determine. We will notify you of such changes through written notice, electronic mail, our website or such other form as we may deem appropriate. You agree that the display of the revised Terms & Conditions on our website will constitute notice of the changes. Your continued use of the Services will constitute acceptance of the changes.
10. Privacy Terms
    AsiaSoft Online reserves the right to use membership information stored in computers regarding activities related to marketing and marketing communication. By accepting these Privacy Terms the member consents to AsiaSoft Online processing personal data about the member and the member’s activities within the Service for the purposes of administrating the Service, controlling and implementing reservations and other orders, coordinating activities and special offerings with participating outlets, and marketing. All rights are reserved by Asiasoft Online.
